Zuckerman Spaeder Represents McKee Nelson LLP in Merger with Bingham McCutchen LLP

Zuckerman Spaeder LLP partners Marshall Wolff and Graeme W. Bush represented McKee Nelson LLP in its recent merger with Bingham McCutchen LLP. With Zuckerman Spaeder’s assistance, McKee Nelson was able to finalize the merger in approximately one month and secure positions for all of its partners and associates.

“This was a very challenging deal that required the application of not only our business law knowledge, but also our skills and experience as law firm counselors,” said Mr. Wolff, who is also a member of the firm’s Executive Committee. “There was a lot at stake in this deal, and we are proud to have had a hand in its success.”

In its representation of McKee Nelson, Zuckerman Spaeder drew from its extensive experience counseling law firms and other companies in business matters. Zuckerman Spaeder provided counsel in evaluating business and legal risks and in negotiating the documentation and closing the transaction. The firm advised McKee Nelson on matters unique to a law firm merger, including legal ethics issues concerning transition of clients, exposures to potential litigation, and fiduciary obligations to partners. In addition to assisting McKee with the issues unique to law firms, Zuckerman Spaeder also assisted in the general business aspects of the transaction, such as treatment of major property leases and outstanding bank loans.
